SouthPoint Bancshares, the Birmingham-based parent company of SouthPoint Bank, has entered into a formal agreement with the Federal Reserve Bank of Atlanta and the Alabama State Banking Department. The agreement, signed on August 14, requires the holding company to demonstrate its ability to provide financial support to the bank if needed.

The action follows an offsite review that identified deficiencies at the holding company. It also comes after a separate consent order was issued in November 2025 by the FDIC and the Alabama State Banking Department to SouthPoint Bank, aimed at improving the bank's operations and financial condition.

Key Requirements

Under the new agreement, SouthPoint Bancshares must submit a plan within 60 days detailing how it will maintain sufficient capital and provide financial assistance to the bank. The plan must address potential methods for raising additional funds or contributing assets to the bank if necessary. The company must also provide cash-flow projections and submit quarterly progress updates.

Effective immediately, SouthPoint Bancshares is prohibited from paying dividends, repurchasing shares, making other capital distributions, or incurring, increasing, prepaying, or guaranteeing debt without prior written approval from regulators. These measures are designed to preserve the company's financial resources and ensure it can support the bank if its condition deteriorates.

The agreement does not indicate that SouthPoint Bank is closing, nor does it suggest that customers cannot access their accounts. However, it is a serious regulatory action that imposes new financial limits on the parent company and requires heightened oversight. The filing states that the agreement is legally enforceable and does not preclude additional regulatory actions in the future.
